1. Our Services
Intertek Tele Innovations provides technology services including, but not limited to:
- Software design and development

- Mobile and desktop application development
- Website design and development
- Custom software solutions
- Software integration and API development
- System maintenance and technical support
- Software consulting and technology services
The exact scope, deliverables, timelines, fees, and requirements for a specific project will be determined by the applicable proposal, quotation, statement of work, or service agreement.
2. Project Requirements
Before beginning a project, we may require information, content, specifications, access credentials, technical documentation, or other materials from the client.
The client is responsible for providing accurate and complete information and ensuring that they have the necessary rights to use any materials supplied to us.
Delays caused by missing information, late feedback, unavailable resources, or changes to project requirements may affect the agreed project timeline.
3. Project Scope and Changes
We build software according to the requirements agreed upon at the beginning of a project.
Requests that significantly change the original scope may be treated as additional work and may require:
- Additional fees
- Revised timelines
- A new statement of work or agreement
We will communicate significant changes to the project scope with the client before carrying out the additional work where reasonably possible.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements
- Supplying necessary content and materials
- Providing timely feedback and approvals
- Providing appropriate access to required systems and services
- Reviewing deliverables within agreed timelines
- Ensuring that their use of the final software complies with applicable laws
Clients are also responsible for maintaining ownership and authorization of any third-party accounts, data, content, software, or services they provide for use in a project.
5. Timelines and Delivery
We make reasonable efforts to deliver projects within agreed timelines.
However, delivery dates may change due to factors such as changes in scope, delayed client feedback, third-party services, technical issues, or circumstances outside our reasonable control.
A project will generally be considered ready for delivery when the agreed requirements have been substantially completed and the deliverables are made available to the client.
6. Payments and Fees
Project fees, payment schedules, deposits, recurring charges, and other financial terms will be outlined in the applicable proposal, quotation, invoice, or service agreement.
Where a deposit or milestone payment is required, work may not begin or continue until the applicable payment has been received.
Late or outstanding payments may result in the suspension of services or project work.
Unless otherwise agreed in writing, third-party costs such as hosting, domains, software subscriptions, licenses, APIs, and other external services are the responsibility of the client.
7. Intellectual Property
Unless otherwise agreed in writing, intellectual property created specifically for and fully paid for by the client will belong to the client upon completion and payment.
Intertek Tele Innovations retains ownership of its pre-existing:
- Software libraries
- Frameworks
- Development tools
- Templates
- Components
- Processes
- Methodologies
- General technical knowledge
Where these materials are incorporated into a client project, the client receives the rights necessary to use the completed solution, but ownership of the underlying reusable materials remains with Intertek Tele Innovations unless otherwise agreed.
8. Third-Party Software and Services
A project may rely on third-party platforms, APIs, libraries, hosting providers, plugins, frameworks, or other technologies.
We are not responsible for changes, interruptions, pricing changes, security incidents, limitations, or discontinuation of third-party services that are outside our control.
Where a third-party service is required for a client’s solution, the client may be responsible for maintaining the relevant subscription, license, or account.
9. Software Testing and Acceptance
We make reasonable efforts to test software before delivery.
Clients are expected to review and test the delivered solution and report any issues that fall within the agreed project scope.
Minor bugs or issues identified after delivery may be addressed as part of an agreed support or warranty period, where applicable.
Issues resulting from unauthorized modifications, third-party changes, misuse, or changes outside the original scope may be treated as additional work.
10. Maintenance and Support
Unless specifically included in a service agreement, ongoing maintenance, updates, monitoring, security management, hosting, and technical support are not automatically included after project delivery.
Support and maintenance services may be provided under a separate agreement or recurring service arrangement.
11. Confidentiality
Both parties may have access to confidential business, technical, financial, or operational information during a project.
Each party agrees to take reasonable steps to protect confidential information and use it only for purposes related to the business relationship.
Additional confidentiality obligations may be established through a separate non-disclosure agreement where required.
12. Acceptable Use
Clients must not use our software, services, or systems for activities that violate applicable laws or regulations.
Clients must not use our services to knowingly distribute malicious software, conduct unauthorized access, infringe intellectual property rights, facilitate fraud, or engage in other unlawful activities.
13. Warranties and Limitations
We aim to provide reliable, professional, and functional software solutions. However, we cannot guarantee that software will always be completely free from errors, interruptions, vulnerabilities, or compatibility issues.
We are not responsible for problems caused by:
- Third-party platforms or services
- Unauthorized modifications
- Incorrect use of the software
- Client-provided code or content
- Changes to external APIs or infrastructure
- Events outside our reasonable control
Unless expressly stated otherwise in writing, our services are provided based on the agreed project requirements and specifications.
14. Limitation of Liability
To the extent permitted by applicable law, Intertek Tele Innovations will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website, software, or services.
This may include loss of profits, revenue, business opportunities, data, or business interruption.
Any liability arising from a specific project will be subject to the terms and limitations agreed upon in the applicable service agreement.
15. Suspension or Termination
Either party may terminate a project or service agreement in accordance with the terms of the applicable agreement.
We may suspend or terminate access to our services where there is a serious breach of these Terms & Conditions, non-payment, misuse of our services, or other circumstances that justify suspension or termination.
Any outstanding fees for work already completed or services already provided remain payable.
16. Website Use
You may use our website for lawful purposes only.
You must not attempt to interfere with the website’s operation, gain unauthorized access to systems, introduce malicious code, or use the website in a manner that could damage our systems or other users.
17. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes to our services, business practices, technology, or applicable legal requirements.
